  Ethics Policy
 

The purpose for this Ethics Policy is to support a culture of openness, trust, and integrity in all Smoke Free Society Education Corporation (SFSEC) management and business practices. A well understood Ethics Policy requires the participation and support of every SFSEC volunteer and employee.

At Smoke Free Society Education Corporation, we are dedicated to working with our volunteers, associates, employees, partners, vendors and customers to help smokers stop smoking, educate children not to start and promote a healthy smoke-free lifestyle. We are committed to conducting all of SFSEC's affairs and activities with the highest standards of ethical conduct. The SFSEC Code of Conduct in the human resources policy manual provides guidance for decisions and actions during our daily work.

We are committed to the responsible use of SFSEC assets; to provide accurate, complete and objective information; to respect the confidentiality of financial and other information; to act in good faith and exercise due care in all we do; to comply with all rules and regulations and to proactively promote ethical behavior.

SFSEC's ethics are built on SFSEC's core values. As such, we acknowledge our individual responsibility to ensure our collective success by practicing and promoting the following values which reflect a shared view of how we want to operate and be seen by others.

Code of Ethics

The Code of Ethics includes the following provisions:
Smoke Free Society Education employees, associates and volunteers must:
Be honest and ethical in their conduct, including ethical handling of actual or apparent conflicts of interest between personal and professional relationships.

Comply with applicable government laws, rules and regulations.
Maintain the confidentiality of information entrusted to them by SFSEC or its customers except when authorized or otherwise legally obligated to disclose.
Deal fairly with SFSEC customers, suppliers, competitors, volunteers, associates and employees.
Provide constituents with information that is accurate, completely objective, relevant, timely, and understandable.
Proactively promote ethical behavior as a responsible partner among peers in the work environment.
Protect and ensure the proper use of company assets.
Prohibit improper or fraudulent influence over the external auditor.

SFSEC is committed to provide a work environment that values diversity among its volunteers, associates and employees. All human resource policies and activities are intended to create a respectful workplace where every individual has the opportunity to reach their highest potential.

Employees are provided opportunities regardless of race, color, national origin, religion, gender, sexual orientation, age, veteran status, or disability. These policies apply to both applicants and employees in all phases of employment including, recruiting, hiring, placement, training, development, transfer, promotion, demotion, performance reviews, compensation, benefits, and separation from employment.

We will evaluate how we are living up to our Code of Ethics by requesting feedback on a regular basis from our employees, volunteers, associates and customers. We will provide all of our stakeholders a mechanism to report unethical conduct. We will begin with employee orientation and regularly communicate all of these expectations to employees, volunteers, and associates.

SFSEC volunteers, associates, employees, contractors/subcontractors and suppliers are expected to report any practices or actions believed to be inappropriate to the supervisor, another SFSEC leader, the human resources department, or via SFSEC ethics hotline.

Our Customers - We are devoted to 100% customer satisfaction. We are devoted to developing "customer enthusiasm," and have a passion about exceeding customer expectations. We dedicate ourselves to anticipating the changing needs of customers and creating timely, innovative and superior programs, products and services.

Conflict of Interest - As representatives of the Smoke Free Society Education, employees, associates and volunteers are obligated to place the interest of SFSEC in any transaction involving SFSEC ahead of any personal interest or personal gain, and to disclose all relevant facts in any situation where a potential conflict of interest may arise.

An underlying principle of "Conflict of Interest' is that employees, associates and volunteers should avoid any activity, investment, or interest that might reflect unfavorably on the reputation or decisions of SFSEC.

Employees, associates and volunteers are expected to seek clarification of and discuss any questions about potential conflict of interest with their supervisor, another SFSEC leader, the human resources department, or use SFSEC ethics hotline.

SFSEC's Property and Information - Employees, associates and volunteers are expected to protect SFSEC's property at all times; including cash, equipment, records, employee, and customer information and to maintain confidentiality regarding SFSEC records, and employee and customer information.

Reporting Ethics Violations - If you have questions or concerns about compliance with the subject described in this policy, or are unsure about what is the "right thing" to do, we strongly encourage you to first talk with your supervisor, another SFSEC leader or the human resources department. If for any reason you are uncomfortable talking to any of these individuals, email SFSEC ethics hotline at ethics@SmokeFreeSocietyEducation.org to report your concerns. Your email will be handled in confidence.

  Conflict of Interest Policy
 

Article I - Purpose

The purpose of the Conflict of Interest Policy is to protect Smoke Free Society Education corporation's ("Organization") interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the Organization or might result in a possible excess benefit transaction. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations.

Article II - Definitions

SECTION 1- Interested Person: Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person.

SECTION 2- Financial Interest: A person has a financial interest if the person has, directly or indirectly, through business, investment, or family:
a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement,
b. A compensation arrangement with the Organization or with any entity or individual with which the Organization has a transaction or arrangement, or
c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Organization is negotiating a transaction or arrangement.
- Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial.
- A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists.

Article III - Procedures

SECTION 1 - Duty to Disclose: In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement.

SECTION 2 - Determining Whether a Conflict of Interest Exists: After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.

SECTION 3 - Procedures for Addressing the Conflict of Interest:

a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.
b. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.
c. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.
d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

SECTION 4 - Violations of the Conflicts of Interest Policy:

a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.
b. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Article IV - Records of Proceedings

The minutes of the governing board and all committees with board delegated powers shall contain:
a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board's or committee's decision as to whether a conflict of interest in fact existed.
b. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

Article V - Compensation

a. A voting member of the governing board who receives compensation, directly or indirectly, from the Organization for services is precluded from voting on matters pertaining to that members compensation.
b. A voting member of any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the Organization for services is precluded from voting on matters pertaining to that member's compensation.
c. No voting member of the governing board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the Organization, either individually or collectively, is prohibited from providing information to any committee regarding compensation.

Article VI - Annual Statements

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person:
a. Has received a copy of the conflicts of interest policy,
b. Has read and understands the policy,
c. Has agreed to comply with the policy, and
d. Understands the Organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Article VII - Periodic Reviews

To ensure the Organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects:
a. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining.
b. Whether partnerships, joint ventures, and arrangements with management organizations conform to the Organization's written policies are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

Article VIII - Use of Outside Experts

When conducting the periodic reviews as provided for in Article VII, the Organization may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.

1. Through your use of this website ("Site"), Smoke Free Society Education corporation ("SFSEC") collects certain information about you that you specifically and knowingly provide to us, such as your username, email address, name or mailing address. In addition, we may track how you use this Site and relate it to the information you have provided to us. If you wish to be notified of the use of such tracking software and/or disable such software, your browser may offer this feature by means of its options or preferences menu.

2. The above-described information ("Personally-Identifying Information") may be used by SFSEC to personalize and enhance your use of this Site, including the marketing and promotion of certain products and services that might be of interest to you. Your use of this Site is a consent to the foregoing use of your Personally-Identifying Information by SFSEC.

3. SFSEC DOES NOT rent or sell your Personally-Identifying Information to non-Smoke Free Society Education companies. SFSEC may share your Personally-Identifying Information with select companies/organizations for their own marketing and promotional use. While SFSEC seeks to share Personally-Identifying Information with companies that follow appropriate privacy policies, it does not bear any responsibility for the actions and policies of such third parties. If you wish that we not share your Personally-Identifying Information with third parties, you may "opt out" by emailing us with such request.

4. You should be aware that any Personally-Identifying Information, such as your username and email address, as well as any other information that you post on a bulletin board, share in a "chat room," or otherwise specifically and knowingly disclose by use of bulletin boards or chat rooms (together, the "Forums"), may be directly collected and used by third parties. Therefore, you may be subject to unsolicited email as a result of your disclosure of such information. YOU SHOULD HAVE NO EXPECTATION OF PRIVACY WITH RESPECT TO YOUR COMMUNICATIONS THROUGH THE FORUMS.

Personal Information Collected on this website
SFSEC collects personal information that Site visitors provide when they complete any online form, application or survey.

Information provided in a request for service or information is forwarded to the SFSEC affiliate or business that will respond to the request. If site visitors express interest in an appointment with a Smoke Free Society affiliate or representative, the information they provide, is provided to the Smoke Free Society Education affiliate or representative.

SFSEC may contact visitors who have submitted a request for additional information about the request.

SFSEC may use information submitted in one of our online forms to ask site visitors to complete a voluntary customer satisfaction survey. In order to understand consumer preferences, SFSEC may combine survey response information with information about customers who recently made donations.

SFSEC's Use of Cookies

SFSEC and/or its suppliers, agents and employees shall not be liable for any damage resulting from the functioning or malfunctioning of any computer equipment or any other items supplied by SFSEC. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation might not apply to you. The total cumulative liability of SFSEC or its suppliers will be limited exclusively, at SFSEC's sole discretion, to Product replacement or refund of the purchase price.
